We provide advice to Chilean companies and foreign companies with a presence in Chile, in their organization and other internal processes. Among the services we offer, we can highlight:

– Corporate and Business Planning Organization and reorganization of companies and businesses and joint ventures. We design the most appropriate corporate and business structures, taking into account the role of the controller and minority shareholders, internal and external financing of the company (capital structure) and characteristics of the industry in which our clients are located.

– Shareholder Agreements Relations between partners and shareholders, including resolution of conflicts between partners.

– Corporate Governance Senior management and administration structures, sole proprietorships, family businesses, joint ventures, publicly traded, regulated companies, conglomerates and foreign companies. Role and responsibilities of the controller of corporations and rights of minority shareholders. We take care of the adequate protection of the corresponding interest groups (stakeholders).

We advise Directors, Managers and Senior Executives of companies, especially public limited companies, so that they can fulfill their fiduciary duties towards the company and its shareholders, in order to comply with the most recent criteria of the authority, avoiding unnecessary exposure .

– External Prosecutor's Office Aware that our clients need to keep their statutory records, books, powers of attorney and other documents up to date, in order to adequately respond to the needs of their environment (stakeholders), we provide all the support to comply with the highest corporate standards. We especially advise on:

• Constitution of companies, modifications, mergers, purchases, divisions and dissolutions.
• Generation and updating of statutory books, issuance of titles and certificates.
• Granting of powers, their registration and maintenance.
• Preparation and Recording of minutes of Board Meetings and Shareholders' Meetings.
• Advice on organizing and conducting sessions and assemblies.
• Relations with the Authority. Advice on regulatory standards, their changes, and authority criteria.
• Contractual advice with suppliers and clients, including contractors and subcontractors.

– Compliance We have unique experience in corporate compliance processes, including implementation of Prevention Models (L. 20,393 on Criminal Liability of Companies), policies and processes before authorities such as the UAF and the SII. We are well acquainted with the guidelines of foreign countries on the matter, especially the FCPA of the United States, since we have advised United States companies on it, in the compliance that must be given in Chile with United States regulations on the matter.
